The D&C adds New Fuji Xerox will use the Xerox brand in most nations and the Fuji Xerox brand in Asia and Australia.

Xerox CEO, Jeff Jacobson, said: "The new Fuji Xerox will be better positioned to compete in today's environment with truly global scale, increased presence in fast-growing markets, and innovation capabilities to effectively meet our customers' rapidly-evolving demands".

Reuters reports the Fujifilm will take a majority stake in the photocopying leader and merge the USA company with their longtime Fuji Xerox joint venture in a move to save as much as $1.7 billion.

"Companies didn't make much money from the actual photocopiers and printers themselves, but more from the sale of toners and paper".

"Xerox shareholders will receive a $2.5 billion special cash dividend, or approximately $9.80 per share, funded from the combined company's balance sheet, and own 49.9 percent of the combined company at closing", the companies said in a statement. Xerox was trading up $0.83 (2.54%) to $33.51 per share before markets opened Wednesday.

At the end of the transaction, the shareholders of Xerox would hold slightly less than half of the new entity, according to WSJ, citing sources close to the case.

Icahn has previously said that Jacobson, chairman Bob Keegan and other "old guard" members of the Xerox board have failed to recognize that further change is needed. "We believe Fujifilm's track record of advancing technology in innovative imaging and information solutions - especially in inkjet, imaging, and AI areas - will be important components of the success of the new Fuji Xerox". Through a joint venture based partnership spanning 56 years, the Company and Xerox have deepened their multi-faceted mutual cooperation on technology, etc. and built a strong relationship of trust. "I would think that would be a big positive for Fuji".

Xerox announced a net misfortune from proceeding with operations of $196 million (generally Rs. 1,245 crores) in the final quarter, mostly because of an irregular $400 million (Rs. 2,542 crores) charge as it tried to exploit changes to U.S. assess law yet additionally mirroring the consistent decrease in office printing.
